1. Acceptance of These Terms
Welcome to TapSnap. These Terms of Service ("Terms") govern your access to and use of the website located at tap-snap.com and any related web pages, interactive checkout software, digital wallet interfaces, or software services that link to these Terms (collectively, the "Services"). The Services are operated by TapSnap LLC ("TapSnap," "we," "us," or "our"), a Delaware limited liability company headquartered in New York. By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not access or use the Services.
2. Operational Architecture & Financial Services Disclaimer
TapSnap LLC operates as a software technology infrastructure provider. TapSnap LLC is designed to provide software technology, user interfaces, and QR-based checkout infrastructure for merchants and consumers. TapSnap LLC does not itself operate as a bank or directly provide depository services. Financial, processing, banking, and settlement services (including ACH payouts, card processing, and digital wallet tokenization) are provided by licensed, regulated third-party financial institutions and payment service providers (including, where applicable, Bridge, Stripe, Plaid, Privy, or other regulated partners).
3. Eligibility & Sanctions Compliance
To access or use the Services, you represent and warrant that you: • Are at least twenty-one (21) years of age; • Have the legal capacity to enter into a binding contract under applicable law; • Reside in a United States jurisdiction where TapSnap software services are offered; • Have not been previously suspended or removed from using the Services by TapSnap LLC; and • Are not located in, under the control of, or a national or resident of any country or jurisdiction subject to U.S. economic sanctions (including OFAC regulations) or designated on any U.S. Government list of prohibited or restricted parties.
4. Account Registration & Security
Certain features of the Services may require you to authenticate or register an account. You agree to: • Provide accurate, current, and complete information during registration; • Maintain the security and confidentiality of your account credentials and authentication tokens; • Promptly notify us at support@tap-snap.com if you suspect any unauthorized access to your account; and • Remain responsible for activities conducted through your account, except as otherwise required by applicable law. TapSnap LLC is not liable for any losses arising from your failure to safeguard your account credentials.
5. Acceptable Use & Regulatory Restrictions
You agree not to: • Use the Services for any unlawful purpose or in violation of federal, state, or local laws; • Violate, evade, or cause TapSnap or its banking partners to violate AML laws, BSA rules, or OFAC sanctions; • Use the Services in connection with prohibited transactions, unauthorized gambling, fraudulent activities, or illegal money laundering; • Circumvent, disable, or interfere with security features of the Services; • Probe, scan, or test the vulnerability of our software interfaces or networks; • Reverse engineer, decompile, or disassemble any portion of the TapSnap technology; or • Use bots or automated means to access the Services without our express written permission. We reserve the right to suspend or terminate accounts that violate this section, with or without notice.
6. Intellectual Property
All content, branding, software, designs, text, graphics, logos, trademarks, and user interfaces on the Services are owned by or licensed to TapSnap LLC and are protected by United States and international intellectual property laws. Subject to your compliance with these Terms, TapSnap LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or authorized merchant checkout purposes. No right, title, or interest in any TapSnap Content is transferred to you.
7. Third-Party Services & Links
The Services rely on and interface with third-party software, identity providers, and regulated payment networks. Your use of third-party services is governed by their respective terms and privacy policies. TapSnap LLC is not responsible for the availability, acts, or omissions of any third-party provider.
8. Disclaimers of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, TAPSNAP LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TAPSNAP LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TAPSNAP LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TAPSNAP LLC'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100.00); OR (B) THE TOTAL AMOUNT PAID BY YOU TO TAPSNAP LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless TapSnap LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any fraudulent activity associated with your account.
11. Suspension and Termination
TapSnap LLC reserves the right to suspend, disable, or terminate your access to the Services at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms or applicable laws. Upon termination, all rights granted to you under these Terms will immediately cease.
12. Governing Law, Binding Arbitration & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. 12.1 Informal Dispute Resolution: Before initiating formal legal action, you and TapSnap LLC agree to attempt in good faith to resolve any dispute informally by contacting support@tap-snap.com. 12.2 Binding Arbitration: Any dispute shall be settled by binding arbitration administered by JAMS. The place of arbitration shall be Wilmington, Delaware. The arbitrator's decision shall be final and binding. 12.3 Class Action Waiver: YOU AND TAPSNAP LLC AGREE THAT EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. 12.4 30-Day Opt-Out: You may opt out of the arbitration agreement by emailing support@tap-snap.com within thirty (30) days of first accepting these Terms, with the subject line "Arbitration Opt-Out."
13. Export Control & Sanctions Compliance
The Services and underlying software may be subject to U.S. export control laws and regulations. You agree not to export, re-export, or transfer, directly or indirectly, any TapSnap software or technology in violation of U.S. export control laws or regulations.
14. Electronic Communications & Signatures (E-SIGN Consent)
By using the Services, you consent to receive communications, disclosures, notices, and agreements from TapSnap LLC electronically. You agree that all electronic notices and signatures satisfy any legal requirement that such communications be in writing under the U.S. E-SIGN Act and applicable state laws.
15. Force Majeure
TapSnap LLC will not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, cyberattacks, network or power outages, failures of third-party financial or technology infrastructure providers, or state/federal regulatory changes.
16. General Provisions
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and TapSnap LLC regarding the Services. • Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force. • No Waiver: TapSnap LLC's failure to enforce any right or provision will not be deemed a waiver. • Assignment: You may not assign these Terms without our prior written consent. TapSnap LLC may assign these Terms in connection with a merger, acquisition, or sale of assets. • Survival: Provisions that by their nature should survive termination shall survive termination of these Terms.
17. Changes to These Terms
We may update these Terms from time to time. Where required by applicable law, we will provide notice before material changes become effective by posting the updated Terms on the Site with an updated "Last Updated" date. Your continued use of the Services following the effective date constitutes acceptance of those changes.
